Where capital is structured, deployed and verified.

ABO Law structures the vehicles that hold capital, documents the transactions that deploy it, and examines the companies that receive it. We work with funds, syndicates and other investment vehicles, and with the founders they back, bringing institutional standards to the most consequential stages of investment.

Our practice

Fund & Investment Vehicle Formation

Every serious pool of capital begins with a structure that investors can trust and regulators can recognise. We design and form syndicates, special purpose vehicles, micro funds and venture funds, working through the choice of jurisdiction, the governing documents, the economics between managers and investors, and the onboarding that brings capital in cleanly. The result is a vehicle built for the strategy it serves and resilient enough to carry it from first close to final exit.

What we deliver

We constitute the vehicle in full, with its governing and investor documentation and an onboarding framework in place, ready for first close and built to withstand investor and regulatory scrutiny.

Investment Transactions

We lead the legal execution of investment rounds from term sheet to completion, covering SAFEs, convertible notes, priced equity, shareholder and subscription agreements, and the closing mechanics that bind them. Whether we act for the investor or the company, our aim is the same: terms that are precise, balanced and enforceable, delivered at the pace that live transactions demand.

What we deliver

We close the round, with every document executed, every condition satisfied and an organised record of the transaction that will stand up to future financings, audit and exit.

Investment Diligence

Our diligence examines a company's legal standing, regulatory position, corporate records, contracts and intellectual property, and translates what we find into a clear assessment of risk. Investors receive findings ranked by consequence, with a direct view on what should be remedied, repriced or reconsidered before capital moves. Founders who engage us ahead of a raise enter the process prepared, with issues resolved before an investor ever finds them.

What we deliver

We report on every finding, rated by severity, with the issues that bear on value isolated and the conditions, protections or remedies the deal should carry set out before capital moves.

Why ABO Law

ABO Law is led by a team who build and operate investment vehicles as well as advising on them, so our work is shaped by an understanding of how investors actually assess a company, negotiate a round and manage a portfolio.

The investor's vantage point

We bring a strong investment perspective to every mandate. We know which terms matter in practice, which risks are worth pricing and which are worth walking away from, and we draft accordingly.

Where global capital and African markets meet

International investors increasingly want exposure to African companies but face corporate and regulatory frameworks they do not know well. African founders, in turn, are raising from investors who expect global standards of governance and documentation. ABO Law stands between the two, helping capital enter these markets with confidence and helping companies meet the standard that serious investors require.
